The information provided in the Services is for informational purposes only. Despite our efforts to provide accurate and useful information, errors may appear from time to time. Before purchasing goods or services you've read about in the Services, it is important to confirm any information that is important to your purchasing decision with the vendor. This information includes, but is not limited to, the price, condition, maintenance history, performance specifications, operating costs, and other specifications of any aircraft or other asset, product or service advertised for sale or for lease on the Services. Aircraftwest, LLC is not responsible for, and does not guarantee the performance of, any such goods or services.
Disclaimers; Limitations on Liability
Aircraftwest, LLC makes efforts to keep the Services safe, secure, and functioning properly, but we do not guarantee the continuous operation or access to our Services.
You agree that you are using the Services at your own risk, and that the Services are provided on an "AS IS" and "AS AVAILABLE" basis. Accordingly, we expressly disclaim all express or implied warranties of any kind, including, but not limited to, any warranty of non-infringement, merchantability, or fitness for a particular purpose or any other warranty, condition, guarantee or representation, whether oral, in writing, or electronic form. Aircraftwest, LLC expressly disclaims any representations, warranties, and/or liability for any referrals, recommendations, or related services offered through the Services, or any aircraft acquired or sold on the Services. Any transaction undertaken on or through the Services shall be at the sole risk of the seller and purchaser.
We do not represent or warrant that the Services or your use of the Services:
• shall be uninterrupted or without delays or disruptions;
• shall operate without failures, errors or omissions or loss of transmitted information or without glitches, bugs, errors, or inaccuracies of any kind;
• shall not damage your hardware device;
We cannot guarantee that you will not need to modify your practices, content, or behavior, or that you will not lose the ability to do business as a result of changes to this User Agreement or our policies. Some jurisdictions may not allow for the disclaimer of warranties or exclusion of damages, in which case these disclaimers and exclusions may not apply to you. Additionally, you may have other rights that vary from state to state.
To the extent permitted by applicable law, we (including our parent, subsidiaries, and affiliates, and our and their officers, directors, agents, and employees) will not be held liable for any damages or losses resulting from the use of the Services. This includes, but is not limited to, loss of money, goodwill, reputation, profits, or other intangible losses, as well as any special, indirect, or consequential damages.
In the event that we are found to be liable, our liability to you or any third party will be limited to the amount paid by you to Aircraftwest, LLC for services in the month prior to the action that gave rise to the liability.
User Disputes:
In the event of a dispute with one or more Aircraftwest, LLC users, including but not limited to fraud, you release Aircraftwest, LLC and all of its affiliates, subsidiaries, and their respective officers, directors, employees, agents, subsidiaries and joint ventures from any and all claims, demands, and damages, known or unknown, arising from or in any way connected to such disputes.
Indemnification:
You agree to indemnify and hold harmless Aircraftwest, LLC and all of its affiliates, subsidiaries, and their respective officers, directors, employees, agents, subsidiaries and joint ventures from any and all claims, demands, including reasonable legal fees, made by any third party as a result of your breach of this Agreement, improper use of the Services, or violation of any laws or third-party rights.
Use of the Services:
As a user of the Services, you are granted permission to use and download materials displayed on the Services for noncommercial, personal use only. By downloading any material, you agree to retain all copyright and proprietary notices as they appear on the materials. You are prohibited from distributing, modifying, transmitting, posting, or using the content of the Services for public or commercial purposes without obtaining written permission from Aircraftwest, LLC. Any violation of these terms may result in the termination of your account, refusal of service, and cancellation of orders. Additionally, you agree not to disrupt, modify, or interfere with the Services in any way, and not to impede or interfere with the use of the Services by others. You also agree not to use any content from the Services in a manner that suggests an association with Aircraftwest, LLC, and not to post any content or message that threatens, harasses, defames, or abuses others. Furthermore, you agree not to post or distribute any vulgar messages or obscene material and not to alter or tamper with any information or materials on or associated with the Services.
Specific Use Terms for Advertisers:
Additional terms specific to the use of the Services for advertising can be found in the Aircraftwest, LLC Advertiser Agreement, which is incorporated by reference into these Terms.
Trademarks:
The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed in the Services are the registered and unregistered trademarks of Aircraftwest, LLC. Use of these Trademarks displayed on this Site, except as provided in these Terms, is strictly prohibited.
Copyrights:
The material on our Services is intended for personal use only. Our Services contain copyrighted and proprietary information, and you agree to not use it for commercial or unauthorized purposes, as prohibited by copyright laws and regulations. All content on our Site, including text, images, logos, and icons, is the property of Aircraftwest, LLC or its licensors and protected by international copyright laws. Any rights not explicitly granted are reserved.
Third-Party Links:
For your convenience, our Services may include links to third-party websites. However, we do not guarantee the prices, terms, quality, reliability, or performance of products or services provided by these vendors. We do not endorse or assume responsibility for any information, products, or services found on these linked sites. Additionally, we are not responsible for any content that appears on websites of dealers who list their aircraft in our Services.
Client Lists:
As part of the Services offered by Aircraftwest, LLC, we reserve the right to publish the names and contact information of aviation businesses utilizing our Services for marketing and advertising purposes. These lists may be used by Aircraftwest, LLC, but will not be shared with any third parties. Customers have the option to request that their information not be published, and we will make every effort to honor these requests in a timely manner.
Privacy:
At Aircraftwest, LLC, we take privacy seriously and have a dedicated Privacy Policy in place to protect our customers' information. This policy is incorporated into and forms a part of these Terms. The Site is a multiple listing service (MLS) platform that allows aircraft owners, brokers, dealers, and other advertisers (referred to collectively as “Sellers”) to list and sell their aircraft inventory. Prospective buyers and other visitors to the Site (referred to collectively as “Buyers”) use the Site to browse aircraft listings, research the business aircraft market, contact Sellers, and share listings.
Content Aggregation:
The Site also serves as a content aggregation platform that allows visitors (referred to collectively as “Users”) to view news and information, discussion forums, company directory information, and other third-party information not supported by or endorsed by us.

When a Seller visits the Site and completes a form (such as to place an ad or sign up to receive our communications) or creates an account, we may ask for the following personal information:
- Contact information (e.g., name, phone number, email address, postal address, or mobile number);
- Account information (e.g., username and password);
- Professional information (e.g., job title, employer or company information, professional affiliations);
- Payment card information;

1. Personal Information of Buyers and Sellers:
We use the personal information of Buyers and Sellers obtained through the Site for the following purposes:
- To identify and authenticate user accounts: We use account information to verify the identity of Buyers and Sellers and confirm access to the Site. This is to comply with our contractual obligations and to protect the Site and personal information obtained.
- To fulfill Buyers’ and Sellers’ requests and make the Site available: We process personal information to provide services requested by Buyers and Sellers, such as when a Seller creates an ad or a Buyer shares a listing. This is to provide the Site according to our contract with each Buyer or Seller.
- To improve the Site: We analyze information about how Buyers and Sellers use the Site to understand usage and provide an improved experience. This includes product testing and site analytics. It is in our legitimate business interests to use the information provided for this purpose to understand and address any issues with the Site and improve our offerings.
- To communicate with Buyers and Sellers: We use personal information to communicate with Buyers and Sellers about their account or about listings. For example, if we are providing information about changes to our terms and conditions or if a Buyer or Seller contacts us with questions. It is in our legitimate interests that we are able to provide Buyers and Sellers with appropriate responses and notices about our Site.
- Marketing: We use Buyers’ and Sellers’ personal information to send promotional or marketing communications about our company, the Site and other offerings. We may also develop marketing segments. This helps us understand Buyers’ and Sellers’ interests and preferences and allows us to appropriately personalize the marketing messages we send. For example, we may develop an update for helicopter brokers about helicopters available for sale. It is in our legitimate interest to provide more relevant and interesting advertising messages.
It is important to note that we use payment information, such as card numbers and expiration dates, for limited purposes such as to process transactions, provide requested products or services and protect our rights or the rights of others.

We utilize personal information obtained from Buyers and Sellers for various purposes, including protecting our rights and the rights of others, and fulfilling our legal and contractual obligations. Additionally, we may use personal information to comply with industry and legal requirements, such as court orders, warrants, subpoenas, and requests from public and government authorities.

Additionally, we may obtain information indirectly from consumers through referral links, searches, and views of vehicle or equipment listings. We also collect activity-based information from our marketplaces, which may include usage details about consumers automatically collected from our marketplace. Lastly, we may obtain information from third-parties that interact with us in connection with our marketplaces, such as vendors that resolve Internet Protocol addresses to geographic locations.
THE USE OF PERSONAL INFORMATION:
We may use or disclose the personal information we collect for one or more of the following business or commercial purposes:
- To fulfill the reason for which the information is provided, such as connecting inquiring parties with listed vehicle sellers.
- To provide requested information, products, or services, such as newsletters or search results for vehicles or equipment available from listing sellers or owners.
- To provide email alerts, event registrations, and other notices concerning our products or services, or events or news that may be of interest to you.
- To carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including billing for advertising your listing.
- To improve our website and present its contents to you.
- For testing, research, analysis, and development of our marketplaces and existing and new products.
- To protect our rights and property, and the rights, property, or safety of us, our clients or others.
- To respond to law enforcement requests and as required by applicable law, court order, or governmental regulations.

DELETION REQUEST RIGHTS:

Once we have received and verified your request, we will delete (and direct our service providers to do the same) your personal information from our records, unless an exception applies.
We may deny your request to delete personal information if retaining the information is necessary for us to fulfill certain obligations, such as completing a transaction, providing a requested service, protecting against malicious or fraudulent activity, or complying with legal obligations. Only you or an authorized representative may make a verifiable consumer request and requests may only be made twice within a 12-month period. To ensure a prompt and accurate response, please provide sufficient information to verify your identity and detail your request clearly.
RESPONSE TIMING AND FORMAT:
We will respond to a verifiable consumer request within 45 days of receipt, unless we require additional time. In that case, we will notify you of the reason and estimated extension period. If you have an account with us, we will deliver our response to that account. If not, we will provide a written response by mail or electronically, as per your preference. Our disclosures will only cover the 12-month period prior to receipt of your request. If we are unable to comply with a request, we will explain the reasons why. For data portability requests, we will provide the information in a useable format that allows for easy transmission to another entity.
We do not charge a fee for processing or responding to a verifiable consumer request, unless it is deemed excessive, repetitive, or unfounded. In such cases, we will provide an explanation and cost estimate before proceeding with the request.

Advertising Agreement

This document outlines the terms and conditions for advertising with Aircraft-Network, a division of Aircraftwest, LLC (Herein referred to as: "Aircraft-Network"). This document is part of any forms used in the procuring / ordering of advertising products or services (the Ordered Products/Services) that both Aircraft-Network and the Customer execute, whether in writing or electronically. The Agreement includes the Order Form, these Terms and Conditions, and any attachments. It sets forth the additional terms and conditions related to the provision and use of the Ordered Product(s)/Service(s).
Ordered Products/Services:
By using our advertising products and services, you expressly acknowledge and agree that we have the final say on whether to approve or reject any ad content. We may also cancel an ad at any time, and we determine where it appears. If you advertise products or services you don't own, you must have the rights to it and accurately represent it. We are not responsible for any inaccuracies in your advertising.
Fees:
Customer must pay all Fees designated in the Order Form for each Ordered Product/Service, including one-time upfront fees and recurring fees. Invoices are due upon receipt and before deployment/activation, unless otherwise agreed by Aircraft-Network. For automated recurring deployment/activation, payment will be collected one day prior to deployment/activation.
Customer is solely responsible for paying all taxes applicable to the Ordered Product/Service and will be itemized on Customer's Invoice/Receipt. Aircraft-Network may modify monthly Fees with at least one month's prior written notice. If the Fee modification increases the payable Fees, Customer may cancel the Ordered Product/Service by providing written notice before the increase. If not, the Fee increase becomes effective as of the specified date in Aircraft-Network's initial notice.
Proprietary Rights; License: Restrictions:
The customer agrees that Aircraft-Network can collect and use information related to their use of Ordered Products/Services, including analytics data, lead data, listings data, and customer content. The customer is responsible for complying with applicable laws and regulations, as well as Aircraft-Network's policies and procedures. The customer is solely responsible for all products advertised and content included within any advertising or customer website. The customer must ensure they have obtained the necessary licenses, rights, and permissions for displaying or distributing customer content, and Aircraft-Network will not investigate or evaluate any potential infringement.
Compliance:
As the sole responsibility lies with the customer, it is their duty to comply with all relevant laws when accessing, using, storing, and disclosing lead data and other personal information. Aircraft-Network will not be held accountable for any violations of applicable laws.
Customers must maintain industry-standard measures to ensure the security, confidentiality, and integrity of lead data and personal information, in compliance with all relevant laws.
Proprietary Rights:
Aircraft-Network owns all rights to its materials, including products/services, intellectual property, software, design, and data, and customer has limited use rights. Customer cannot sell or share any of the materials, nor modify or reverse-engineer them.
License:
Customer owns all rights to its content and data submitted to Aircraft-Network. However, Aircraft-Network has the right to use and distribute this content and data for the purpose of providing services, and may also share it with affiliates and third-party vendors. Customer's domain name(s) associated with any Customer Website belongs solely to the customer, and Aircraft-Network shall not be responsible for its maintenance or renewal.
Restrictions:
Customer cannot share, reproduce, or distribute any data, reports, or results without Aircraft-Network's prior written consent. However, Aircraft-Network may use, distribute, and sell this data, reports, and results for its own purposes and marketing to third parties, subject to applicable laws.
Confidentiality:
Both parties must keep confidential all information, technology, materials, and know-how provided by the other party during the Contract Period and for three years after. The Receiving Party can only use this information to carry out the activities allowed under the agreement or to enforce their rights. The Receiving Party must take reasonable steps to protect the information and notify the Disclosing Party if there is any unauthorized disclosure. Exceptions to confidentiality include information already known, public knowledge, or legally required to be disclosed. The Receiving Party may disclose Confidential Information to its affiliates or to comply with these terms and conditions or legal requirements, but must provide prior notice and disclose only the necessary information. Upon request, the Receiving Party must return or destroy all Confidential Information, except for archival and backup copies that must remain confidential and only accessible to relevant employees.
Disclaimer:
Except for express warranties stated in this agreement, all products and materials provided by Aircraft-Network are "as is" and without any warranty, whether express, implied, or statutory, including but not limited to quality, accuracy, completeness, performance, noninfringement, merchantability, or fitness for a particular purpose. Aircraft-Network does not guarantee uninterrupted or error-free operation, and is not liable for any errors, omissions, delays, or losses arising from the use of its products. Location targeting accuracy is not guaranteed, and marketing materials cannot be relied upon.
Limitation of Liability:
Aircraft-Network is not liable for any incidental, consequential, indirect, punitive, exemplary, or similar damages arising from this agreement, any ordered product or material, or the relationship between the parties, even if advised of the possibility of such damages. Aircraft-Network's total liability for all claims related to any ordered product or service, or the relationship between the parties, is limited to the total fees paid by the customer for that product or service in the preceding 12 months.
Indemnification:
The customer will be responsible for defending and compensating Aircraft-Network and its affiliates, officers, directors, employees, agents, successors, representatives, and assigns for any claims, damages, settlements, judgments, losses, liabilities, costs, and expenses arising from the customer's use of ordered products/services, proprietary materials, any breach of agreement, or failure to comply with applicable laws.
Term and Termination:
The agreement begins with the initial order form and lasts until the end of the contract period, which can be extended or renewed. Aircraft-Network can terminate an agreement with 3 days prior written notice if the use of any ordered products/services is found infringing or in violation of intellectual property rights or federal, state or local laws. In the event Aircraft-Network terminates an applicable Ordered Product/Service, any pre-paid fees by the Customer will be forfeited.
Governing Law, Dispute Resolution:
This Agreement is governed by the laws of the State of Washington, without regard to conflicts of law principles. Any dispute or controversy arising from this Agreement will be resolved by the exclusive jurisdiction and venue of any local, state or federal court located in Seattle, Washington. The parties waive any right to trial by jury and agree to resolve any account collection disputes by paying all related fees and expenses incurred by Aircraft-Network. The parties also agree that their rights and obligations are determined solely by the terms of this Agreement and opt out of any application of the Uniform Computer Information Transactions Act to the maximum extent allowed by law.
General:
Each party represents and warrants that it is authorized to enter into this Agreement and has the power to perform its obligations under this Agreement. The parties are independent contractors and not partners, and no fiduciary duty exists between them. Aircraft-Network may use Customer’s name, trademarks, service marks, and logos for promotional purposes. Notices must be sent in writing to the applicable address specified in the Order Form. The parties are not liable for delays caused by circumstances beyond their reasonable control. If any part of this Agreement is found to be invalid, the remainder will remain enforceable. The parties' remedies are not exclusive. Aircraft-Network may amend this Agreement at any time, and the amended terms will be effective upon posting. This Agreement is assignable by Aircraft-Network but not by the Customer, and no obligations of the parties survive termination of this Agreement.
Marketing Communications:
By agreeing to this Agreement, the Customer allows Aircraft-Network to send them marketing messages (including emails), but can opt out at any time by completing an Email Opt-Out Form.
Entire Agreement:
This Agreement, along with applicable Order Forms and Terms and Conditions, is the complete agreement between the parties and replaces all prior agreements (including Advertising Agreements) and understandings, written or oral. The Customer acknowledges they have not relied on any representations or warranties not expressly written in this Agreement.
